Terms of Service

1. The service
Ngenani is a visitor management service operated by Impaque LLC, a company registered in Illinois, United States (“Ngenani”, “we”, “our”, “us”). It allows residential and business complexes to pre-register visitors, check them in at the gate, send notifications to residents, and maintain a visit history. These Terms govern your use of the service.
2. Who agrees to these terms
By accessing or using Ngenani you agree to these Terms. If you accept on behalf of a complex, body corporate, estate operator or other organisation, you confirm that you have the authority to bind that organisation, and references to “you” in these Terms include it.
3. Accounts and roles
- Admin organisations subscribe to the service for one or more complexes and are responsible for the conduct of their admins, guards and residents on the platform.
- Residents access the service on behalf of the complex that registers them.
- Guards access the service to check visitors in and out at the gate.
- Visitors do not hold an account; their details are recorded by the resident or guard so that they can be admitted to the complex.
You are responsible for keeping your credentials confidential and for all activity under your account.
4. Acceptable use
You may not use Ngenani to:
- send unsolicited marketing, spam, or content that violates WhatsApp’s Business Messaging Policy or Commerce Policy;
- collect or record visitor data without a legitimate access-control purpose;
- impersonate another person or misrepresent your affiliation with a complex;
- reverse engineer, probe, or otherwise compromise the service or attempt to circumvent its access controls;
- use the service to facilitate any illegal activity or to discriminate unlawfully against any person.
We may suspend or terminate access for any breach of this section.
5. Fees and billing
Admin organisations subscribe to a paid plan. Pricing is shown on ngenani.com/#pricing. Plans are billed in advance, monthly or annually. Setup fees, where applicable, are one-off and disclosed at sign-up. All fees are in US Dollars unless stated otherwise and exclusive of any applicable taxes. Failure to pay may result in suspension of the account after notice.
6. Free trial
We may offer a free trial period during which the service is provided at no charge. At the end of the trial, unless you cancel or convert to a paid plan, your account may be downgraded or suspended. We may modify or withdraw trial offers at any time.
7. Data
Our processing of personal data is governed by our Privacy Policy. You confirm that you have a lawful basis to record visitor data and to share resident contact details with us for the purpose of operating the service. You will respond to requests from residents and visitors to exercise their data rights and will inform us so we can support you.
8. Service availability
We aim to keep the service available 24 hours a day but it is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted access. The gate-side guard app is designed to operate offline and queue check-ins until connectivity returns.
9. Third-party services
The service relies on third-party providers including Vercel for hosting, Neon for database, Meta for WhatsApp Business Platform messaging, Resend for email, Cloudflare for object storage, and Stripe for payments. Outages or policy changes by these providers may affect availability. We do not control and are not responsible for their actions.
10. Intellectual property
Ngenani, the Ngenani name and logo, and all software, documentation and content provided by us are owned by Impaque LLC or its licensors. We grant you a limited, non-exclusive, non-transferable licence to access and use the service for its intended purpose for the duration of your subscription. Data you upload (resident and visit data) remains yours; you grant us a limited licence to process it solely to provide the service.
11. Disclaimer of warranties
To the maximum extent permitted by law, the service is provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Ngenani is a tool to support access control; it is not a security guarantee. Decisions to admit, deny or detain a visitor remain the responsibility of the complex and its personnel.
12. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or in connection with these Terms in any 12-month period is limited to the fees you paid to us for the service in the 12 months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill.
13. Indemnity
You will indemnify Impaque LLC and its officers, employees and agents against any third-party claims, losses and reasonable legal costs arising from your breach of these Terms, your misuse of the service, or the unlawful collection or sharing of data you record in the service.
14. Suspension and termination
Either party may terminate the subscription at the end of the current billing period. We may suspend or terminate access immediately if you breach these Terms, fail to pay, or use the service in a way that risks harm to other users or to Ngenani. On termination, we will make a copy of your visit and resident data available for export for a reasonable period before deletion.
15. Changes
We may update these Terms from time to time. Material changes will be notified to admin organisations in advance. Continued use after the effective date of an update constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Cook County, Illinois have exclusive jurisdiction over any disputes, subject to any mandatory consumer protections in your country of residence.
